Supplier Code of Conducct

1. Introduction | 1.1 Purpose of the Code | This Supplier Code of Conduct (“Code”) outlines the ethical and legal requirements that all suppliers (“Suppliers”) of BITS Lifestyle (“Company”) must adhere to in their dealings with the Company and third parties. The Code is designed to ensure that all Suppliers operate in a manner consistent with the Company’s commitment to ethical business practices, legal compliance, and corporate social responsibility.

1.2 Scope and Applicability | This Code applies to all Suppliers, including but not limited to contractors, subcontractors, consultants, agents, and representatives, who provide goods or services to the Company. By entering into a contractual relationship with the Company, Suppliers agree to comply with this Code in its entirety.

1.3 Legal Framework and Compliance | Suppliers are required to comply with all applicable laws, regulations, and industry standards, including those of the United Arab Emirates and Abu Dhabi, where the Company is headquartered. Failure to comply with this Code may result in termination of the supplier relationship and legal action.

2. Ethical Conduct | 2.1 Integrity and Honesty | Suppliers must conduct their business in an honest and ethical manner. This includes the ethical handling of actual or apparent conflicts of interest between personal and professional relationships.

2.2 Conflicts of Interest | Suppliers must disclose any situation that may appear as a conflict of interest, and must not engage in any activities that could create a conflict of interest with the Company.

2.3 Anti-Bribery and Corruption | Suppliers must not engage in any form of bribery, corruption, extortion, or embezzlement. Suppliers are expected to abide by all anti-bribery and anti-corruption laws.

3. Business Practices | 3.1 Fair Competition | Suppliers must adhere to fair business practices including accurate and truthful advertising. Anti-competitive behavior, including price fixing, market manipulation, and abuse of market power, is strictly prohibited.

3.2 Intellectual Property | Suppliers must respect all intellectual property rights and confidential information of the Company and its clients. Unauthorized use, disclosure, or distribution is strictly prohibited.

3.3 Data Protection and Confidentiality | Suppliers are required to comply with all applicable data protection laws. Suppliers must take all necessary measures to protect the confidentiality and privacy of information.

4. Quality and Safety | 4.1 Product Quality Assurance | Suppliers must meet all quality requirements and standards as specified in their contracts with the Company. This includes compliance with all applicable laws and regulations governing the quality and safety of products and services.

4.2 Safety Standards | Suppliers must adhere to all safety guidelines and standards set forth by relevant authorities. This includes the provision of safe working conditions and the prevention of accidents and injury.

4.3 Regulatory Compliance | Suppliers are required to comply with all applicable laws and regulations concerning the provision of their goods and services. This includes obtaining all necessary permits, licenses, and certifications.

5. Human Rights and Labor Practices | 5.1 Fair Labor Practices | Suppliers are expected to provide fair working conditions for their employees, including reasonable working hours, fair wages, and benefits. All employment must be voluntary, and forced labor in any form is strictly prohibited.

5.2 Non-Discrimination | Suppliers must adhere to a policy of non-discrimination based on race, gender, age, nationality, disability, or any other legally protected status. They must also comply with all applicable laws and regulations concerning employment discrimination.

5.3 Child and Forced Labor | Suppliers must not employ underage or forced labor. They are required to comply with all applicable child labor laws and should adhere to the minimum employment age limit defined by the UAE Laws.

6. Environmental Responsibility | 6.1 Sustainability Practices | Suppliers are encouraged to adopt sustainable practices in their operations. This includes the responsible use of natural resources and efforts to minimize waste and emissions.

6.2 Waste Management | Suppliers must comply with all applicable environmental laws and regulations concerning waste disposal and recycling. This includes the proper disposal of hazardous materials.

6.3 Energy Efficiency | Suppliers are encouraged to implement energy-efficient practices in their operations, including the use of renewable energy sources where possible.

7. Supply Chain Management | 7.1 Supplier Selection | Suppliers are expected to adhere to the Company’s criteria for supplier selection, which may include financial stability, reputation, infrastructure, technological capabilities, and ethical considerations.

7.2 Subcontracting | Any subcontracting by Suppliers must be approved in writing by the Company. Subcontractors are also required to comply with this Code.

7.3 Audits and Assessments | The Company reserves the right to audit Suppliers to ensure compliance with this Code. Suppliers must cooperate fully with any such audits, which may include site visits and inspections.

8. Legal Compliance | 8.1 Compliance with Local and International Laws | Suppliers must comply with all applicable local, national, and international laws and regulations. This includes, but is not limited to, laws related to labor, health and safety, and the environment.

8.2 Licensing and Permits | Suppliers are required to obtain all necessary licenses, permits, and certifications required for their operations. Failure to do so may result in termination of the supplier relationship.

8.3 Reporting and Disclosures | Suppliers must promptly report any known or suspected violations of this Code to the Company. They are also required to disclose any legal actions or investigations they are subject to that could impact their business relationship with the Company.
